Today he is the company's largest shareholder. And he can't even sit on its board, because he is prohibited by the CVM (Brazilian Securities and Exchange Commission) until 2029. His name is Silvio Tini de Araújo. He only managed to surpass 25% of the company because, on June 15, 2026, Pão de Açúcar's shareholders overturned the only thing preventing it: a clause in the bylaws called the poison pill. Two days later, he appeared with 25.795% of the shares. In this video, I explain what this poison pill was, why it was overturned, and why its fall wasn't a coup: it was a technical condition to save the company. Pão de Açúcar is in extrajudicial recovery, with R$ 4.57 billion in debt, and the plan foresees converting up to R$ 1.13 billion of this debt into shares. If a creditor bank converted and exceeded 25%, the pill would obligate it to buy the entire company with a 25% premium. No bank would agree to that.
