In this episode, Federico and Alberto tackle one of the most common and underestimated situations: a company with shares split exactly 50/50. What happens when the two partners no longer agree? The risk is total stalemate: decisions blocked, a company at a standstill, and in the worst cases, closure. We start with the walls of conflict and look at the tools to prevent or resolve it: pre-emption clauses, casting vote, arbitration, sales clauses, Russian roulette, withdrawal, and demergers. As always, the goal is one: to give you the awareness to discuss it with your accountant or lawyer, better sooner rather than later.
