In this video from the commercial law playlist, we analyze the joint-stock company (SPA), characterized by the fact that shareholders do not become owners of company shares but of stocks. But which is better: stocks or shares? Should we prefer a company type in which the share capital is divided into stocks or shares? Shares certainly offer more leeway: we can freely choose how many to issue, we can freely transfer them, and we can predetermine which types of rights will grant specific shares to shareholders. When discussing finance, the term "shares" is often confused with "bonds": company shares allow those who purchase them to become actual shareholders of the company in question. We'll analyze in detail what shares are, what it means to "be listed on the stock exchange," what the stock exchange is, what company shares are, and what we mean when we talk about a publicly traded company. We'll then explore the differences between a joint-stock company (SPA) that decides to list on the stock exchange, and a joint-stock company that chooses not to list on the stock exchange, thus avoiding offering its shares to a broad audience. This approach certainly fails to fully exploit all the advantages offered by corporate shares over company stock. The stock market is a financial market that allows investors to match supply and demand; through the stock market, shares are sold without private negotiations, as happens in unlisted joint-stock companies or those whose share capital is divided into shares. Another important difference, when we approach commercial law, is the difference between widely held joint-stock companies and listed joint-stock companies. We've already discussed the latter. Public joint-stock companies, on the other hand, are joint-stock companies that aren't publicly traded but still have highly fragmented share capital. They're not "closed" joint-stock companies, in the sense that they don't aim to keep control of the company within a small circle of shareholders.
