KG is a hybrid business structure treated as two legally separate companies. It is a limited partnership, with the GmbH (limited liability company) acting as the general partner and the KG (limited partnership) as the limited partner. The general partner has unlimited liability, while the limited partners are only liable up to the amount of their capital contribution. The GmbH, as the general partner, thus limits its liability. Liability is therefore limited to the share capital of €25,000. The GmbH requires a managing director, while the KG assumes the role of shareholder. This is regulated by the German Commercial Code (HGB) and the German Limited Liability Companies Act (GmbHG).
