The topic of this new video is cooperatives, and above all, why your company can't be one. Let's see the characteristics of a cooperative. First of all, it is not a profit-making company (i.e., a company for mutual benefit). Specifically, its purpose is to provide its members with: 1. Goods 2. Services 3. Employment opportunities at better-than-market conditions Furthermore, it has complete financial autonomy. This means that - in the event of bankruptcy - members are not liable for the cooperative's debts with their personal assets. Another characteristic is the "open door principle." This means that joining or leaving a cooperative doesn't require a notary or accountant's deed, but only a resolution of the board of directors. Furthermore, there are tax advantages: 1. Reduced taxation on compensation and profits allocated to indivisible reserves 2. A reduction in some labor costs So far, it seems like everything is rosy, but there's a downside. This "small" detail consists of the obligation to DEVOLUTION the company's assets to the mutual fund. This occurs in the event of dissolution or transformation into a profit-making company (i.e., a traditional commercial company). This makes it as if you were working for the "people." It's true that profits are taxed, but they're not yours, as you must redistribute them, as in the two cases listed above. Ultimately, a cooperative is only worthwhile when profits are close to zero. Because otherwise, they won't be yours! This happens because it's "exposed" with: • Refunds • Directors' compensation • Salaries Furthermore, the cooperative is used (although it's borderline) if you have a main company and use it to hire employees through it in order to reduce labor costs. By borderline, I mean that this ploy is not considered legal in all provinces. In any case, the cooperative CANNOT be used to do serious business for a very simple reason: as already mentioned, the profits would not be yours! So, if you have a cooperative as a commercial enterprise, you must convert it as soon as possible into a profit-making company (for example, an LLC) or close it down and open an LLC. This is because continuing down this path will only lead to counterproductive effects. That's all for this video.
