The Customer shall ensure that it shall not: (i) use the Battery for another vehicle, (i) use the Battery to pledge, mortgage or secure the performance of other civil obligations, (iii) arbitrarily dispose of or have it confiscated due to violations of the law. -- VinFast is responsible for repairing the Battery or replacing the Battery with another battery qualified to operate according to VinFast's standards in case the Battery is damaged/defective due to the manufacturer or VinFast's error. -- VinFast may recommend changing the battery model/type if there are equal or better options for the Customer. The mentioned changes/adjustments will be announced on the Website and notified to the Customer in advance. -- Notwithstanding any other provisions and obligations of the Parties under the BSA and the law, when the Customer violates the provisions of the BSA, including payment obligations, VinFast has the right to apply restrictive measures, such as limitting the Battery charge level to 50% if payable remains unpaid for thirty (30) days and to 30% if the payable remains unpaid for 60 days, or other measures permitted by law, after notifying the Customer via the Application/SMS/Email/Phone call, at least seven (7) days prior to intended date of implementation of the restrictive measure. The Battery restrictive measures shall end after the violation is remedied. The Customer agrees that VinFast is exempt from all losses and damages, if any, arising from or in connection with the exercise of the rights stated in this Article. Battery Subscription Service Fee -- Service Fee means a monthly fee payable by Customer to use the Battery Subscription Service ("Service Fee"). The Service Feeis applied according to VinFast's Battery Subscription Policy attached to this BSA. -- Service Fee may be adjusted to increase annually according to the rate of increase in gasoline prices after VinFast has sent a written notice to Customer (including but not limited to notification via Application/SMS/Email) at least thirty (30) working days in advance and automatically becomes an integral appendix of this BSA. = -- Customer can choose to register to convert to another Service Fee package when VinFast issues a Battery Subscription Policy with new Service Fee packages (if applicable). -- For the avoidance of doubt, the Service Fee is exclusive of the charging fee. The charging fee shall be paid by the Customer to the owner of the charging station. Payment and Billing -- Billing Period shall be calculated from the TWENTY SIXTH (26) day of previous month to the TWENTY FIFTH (25th) day of the current month. -- Payment Term: Payables of Customer (including but not limited to the Service Fee, reimbursement, late payment interest, compensations) to VinFast shall be paid on or before the FIFTH (5th) day of each month following the Billing Period, with respect to all payables accrued during the Billing Period. -- Late Payment: In case the Customer is late in paying any due payment, in addition to the sanctions according to the provisions of the BSA, the Customer shall pay VinFast a late payment interest for the overdue payment amount corresponding to the time of late payment. The interest rate shall be twelve percent (12%) per annum until full satisfaction of all payments due to VinFast. Time and place of delivery of Battery -- Battery shall be delivered along with Vehicle. -- Battery activation VinFast shall activate Battery upon signing of this Agreement. General terms -- The BSA shall be valid for a period of two (2) years from the date of signing, and shall be automatically renewed for the same period, unless either Party expresses intention to terminate the BSA by written notice at least sixty (60) days prior to effective date of termination, and in accordance with the other provisions in the BSA about termination of the BSA. Termination of subscription does not give rise to the option of the Customer to purchase the battery. Should the Customer intend to buy the battery, Customer must communicate the intention to VinFast under separate terms and conditions, not related to this BLS.
