The feud between Igor and Monark has once again stirred up the internet — but behind the controversy lies an accounting and corporate error that very few people are seeing. *I read the contract. And what I found is a classic example of when cheap ends up being very expensive.* --- 🔍 *What I analyze in this video:* 📄 What is in the *share purchase and sale agreement* that Monark made public — clause by clause, with an accounting and tax perspective 🏢 The corporate structure of Flow: *individual → holding company → operating company* — and where each asset should be (but isn't) ⚠️ The central problem I identify: the *Flow Podcast brand is under Monark's CPF (Brazilian individual taxpayer registration number)* — not the holding company, not the operating company — and has been used free of charge by Flow all this time. This is a commingling of assets with serious consequences. 🔴 The error in **clause 1.2**: mentioning "fixed assets" in a negotiation between individuals, without clarifying who owns the assets and where they are registered. 💰 The trap of **receivables linked to the holding company's financial availability**: in a limited liability company, the controlling company decides when to distribute profits — which means the seller may never see the money if the contract remains this way. 📊 Why **accounting profit is not cash**: the equity method recognizes the result, but financial availability depends on a distribution decision that may simply not happen. ✍️ The sections that came close to being correct — and made serious mistakes in the final drafting, leaving room for all kinds of litigation. --- *This contract lacked proper accounting considerations.
